Background

JPMorgan has resumed coverage of Banco BPM (BAMI) with a Neutral rating and a €17 price target, highlighting that potential mergers and acquisitions are the dominant theme for Italian banks. The initiation follows meetings with senior executives in Milan, which confirmed strong third-quarter revenue trends but underscored that M&A remains the primary focus for investors in the sector.

Valuation Curbs Upside

Analysts led by Delphine Lee noted that Banco BPM has delivered strong standalone performance, supported by its Anima acquisition, solid commercial momentum, and controlled costs. However, they pointed out that the bank's stock has outperformed the Italian banking sector by 100% over the past five years.

This outperformance has resulted in a premium valuation. Banco BPM now trades at 10.5 times estimated 2028 earnings and 2.2 times its net asset value. This is significantly higher than peers such as UniCredit, which trades at 8.4 times. JPMorgan's price target implies a potential upside of just 6% from current levels.

M&A Scenarios in Focus

According to the JPMorgan note, the main driver for the sector is consolidation. For Banco BPM, several scenarios are being watched closely by the market:

Sample IUX Markets – In-articleAd
  • Monte dei Paschi di Siena (BMPS): Banco BPM described an unsolicited takeover offer from BMPS as "complex" and lacking a sufficient premium for its shareholders.
  • Credit Agricole (CAGR): A combination with Crédit Agricole, which already holds a 29% stake in Banco BPM, could be "attractive and value-creative on the right conditions," according to the bank. JPMorgan estimates that Crédit Agricole could offer a premium of up to 10% in a takeover, assuming approximately €900 million in cost synergies.

UniCredit's Organic Strategy

JPMorgan reiterated its preference for UniCredit (UCG) among Italian lenders, citing its attractive risk-reward profile and synergies from its Commerzbank integration. The analysts noted that UniCredit remains focused on executing its strategy, which includes a target of €1.4 billion in cost synergies by 2030.

Instead of pursuing acquisitions at current high valuations, UniCredit aims to organically capture market share from any disruption caused by M&A activity involving its competitors. The bank plans to leverage increased technology investment to win over roughly half of Banco BPM's market share in a consolidation scenario.
