Allegations Center on Captive Reinsurer
The report focuses on an arrangement between Jackson National Life, the company's regulated subsidiary, and its captive reinsurer, Brooke Re. QVT Financial alleges that a structure allowing Brooke Re to repay hedge losses over a three-year period, rather than quarterly, has created a significant financial risk.
According to the report, this arrangement has resulted in a net receivable of $6.8 billion owed to the subsidiary as of the end of the second quarter. The short-seller claims this receivable represents 137% of Jackson National Life's statutory surplus of $4.971 billion, raising questions about the stability of the company's capital base.
QVT also argued that Jackson relies on "optimistic actuarial assumptions." The firm estimated that actual policyholder behavior caused the modeled value of the company's market risk benefits to be overstated by $2.066 billion between the fourth quarter of 2022 and the second quarter of 2026.

Jackson Financial is the largest issuer of traditional variable annuities in the United States and a major life insurer. The company spun off from British insurer Prudential plc in 2021, with its stock price appreciating from around $25 per share at the time to over $130 before Thursday's decline.
QVT Financial disclosed that it holds short positions in Jackson's debt and equity, meaning the firm stands to profit if the company's securities decline in value. Jackson Financial did not respond to multiple requests for comment on the report's claims, according to the source material. Additionally, the Michigan Department of Insurance and Financial Services reportedly declined to provide documents related to Brooke Re, citing exemptions under the Freedom of Information Act.
