Background

Fitch Ratings has revised its outlook on asset manager Invesco Plc (NYSE:IVZ) to negative from stable, citing concerns over rising leverage following the company's plan to redeem another $1.5 billion in preferred stock. The credit agency concurrently affirmed Invesco’s Long-Term Issuer Default Rating and senior unsecured debt at ‘A’.

Debt-Funded Redemption Drives Revision

The outlook change was prompted by Invesco's strategy to retire the perpetual preferred stock using a new five-year unsecured bank term loan. According to Fitch, this transaction also incurs a $187.5 million early redemption penalty.

This move marks the second major buyback since May 2025, bringing cumulative redemptions to $3 billion. Once completed, the transaction will leave $1 billion in outstanding preferred equity on Invesco's balance sheet.

Leverage Metrics to Rise Sharply

Fitch expects the shift in capital structure to significantly pressure Invesco's credit metrics. The agency projects that the new financing will cause gross debt to fee-related EBITDA to rise to approximately 1.5x on a pro forma basis, a sharp increase from 0.9x at the end of the second quarter.

Fitch signaled that a failure to steer leverage back below its 1.0x threshold over the outlook horizon would likely trigger a one-notch downgrade. The agency also projects that the debt-heavy model will compress debt-service flexibility, with annual interest coverage expected to fall below 15x by the third quarter of 2027 from roughly 19x for the twelve months ended June 30.

Mitigating Factors and Broader Context

Despite the leverage concerns, Fitch acknowledged several of Invesco's financial strengths. The agency pointed to the company's solid balance sheet liquidity, which includes $608.9 million in unencumbered cash, as a key structural stabilizer.

Analysts also anticipate that lower borrowing costs on the new bank debt, relative to the dividends on the legacy preferred stock, will incrementally bolster fixed-charge coverage over time. Invesco's underlying 'A' rating remains supported by its scale as a global manager with $2.5 trillion in client assets and sustained momentum in exchange-traded funds. However, Fitch cautioned that market volatility and fee competition remain headwinds for organic growth.
