TTM Technologies Stock Slides on $500 Million Debt Offering for Epiq Acquisition

Shares of TTM Technologies (NASDAQ: TTMI) fell in morning trading after the company announced plans for a proposed $500 million offering of senior notes due 2034. The debt issuance is a key step in financing its previously announced acquisition of Epiq Solutions, prompting investor scrutiny of the company's increasing leverage.
Financing a Major Acquisition
The senior notes will be offered in a private placement to qualified institutional buyers, according to the company's statement. Proceeds are earmarked to help fund the approximately $1.1 billion cash purchase of Epiq Solutions.
This offering is part of a larger financing package that also includes a $300 million incremental senior secured term loan A and an $800 million incremental term loan B. The significant new debt burden has led investors to price in additional balance sheet risk, which is the primary catalyst for the stock's decline.
Strategic Context and Leverage
AdThe acquisition of Epiq Solutions, announced in mid-August, is intended to expand TTM's defense portfolio with open-architecture software-defined radios and high-performance radio frequency products. TTM noted that Epiq is projected to generate roughly $160 million in revenue in 2027 with EBITDA margins in the mid-30% range.
Despite the strategic rationale, the scale of the debt has become a focal point. TTM management projects that its net leverage will be approximately 2.3x at the deal's closing, with a target of reducing it to a range of 1.5x to 1.7x within 12 to 18 months.
Broader Market Pressures
The move comes amid a challenging market environment, with major U.S. indices trading lower on the day. A recent rise in Treasury yields has amplified concerns about the cost of new corporate debt, making TTM's leveraged financing plan particularly sensitive to the current interest rate backdrop. Investor caution ahead of key inflation data and the upcoming Federal Reserve policy meeting is contributing to a broader risk-off sentiment in the market.
