Clariant Downgraded by Morgan Stanley on Catalyst Division Risks, Legal Overhang

Morgan Stanley downgraded Swiss specialty chemicals company Clariant AG (CLN) to “underweight” from “equal-weight” on Monday, citing dual headwinds from its core Catalyst business and a multibillion-euro legal dispute. The bank also cut its price target on the stock to 7 Swiss francs from 8.10 francs, leading to a share price decline of over 5%.
Catalyst Business Faces Headwinds
The downgrade centers on near-term earnings risk in Clariant’s Catalyst division, which accounted for approximately 21% to 24% of group sales and adjusted EBITDA in 2025. According to Morgan Stanley, this high-margin unit experienced slower growth in the first quarter due to disruptions from the Middle East conflict, which triggered numerous force majeure declarations and plant shutdowns.
These disruptions have reportedly lowered chemical plant operating rates and dampened orders for refill catalysts. While Clariant has guided for a recovery in the second half of 2026, Morgan Stanley analysts project that a material rebound in refill orders may be delayed until 2027. Given that the Catalyst segment's margins have historically been significantly above the group average, the bank sees a risk that Clariant may need to revise its full-year 2026 margin target downward.
Legal Risks and Estimate Revisions
AdClariant also faces a significant legal overhang related to alleged infringement of EU competition law in the ethylene purchasing market. The company was fined €156 million by the European Commission in 2020, and a number of ethylene suppliers have since brought damage claims against Clariant and other defendants, with total quantified claims now reaching approximately €9.5 billion.
Clariant has stated that it rejects the allegations and will defend its position. In response to these combined risks, Morgan Stanley has sharply reduced its financial forecasts for the company:
- It cut its adjusted earnings per share (EPS) estimates for fiscal years 2026, 2027, and 2028 by 20%, 23%, and 20%, respectively.
- The bank's new FY26 adjusted EPS estimate now sits 12% below the consensus forecast.
According to the note, Clariant was trading at 6.2 times its estimated 2026 EBITDA, a valuation below its five-year average but closer to its three-year average.
