Z.AI Stock Falls to 5-Month Low on $5 Billion Capital Raise

Shares of Z.AI, a prominent Chinese artificial intelligence developer, fell nearly 7% on Monday to their lowest point in five and a half months. The decline followed the company's launch of a fundraising initiative to secure approximately $5 billion through a combination of new shares and convertible bonds.
The stock dropped to HK$739, a level not seen since March 31, significantly underperforming the broader Hang Seng Index, which remained largely flat, according to market data from September 13.
Details of the Offering
The capital raise is structured in two parts, designed to bolster the company's financial resources for growth and research.
- Share Placement: The company raised about $2 billion by selling 21.97 million new shares at HK$714 each. This price represented a roughly 10% discount to the stock's previous closing price of HK$793.
- Convertible Bonds: Z.AI also issued $3 billion (20.14 billion yuan) in zero-coupon convertible bonds, which are due in September 2027.
AdThe discounted share sale immediately increases the number of outstanding shares, creating a dilutive effect for existing investors. While the convertible bonds could lead to further dilution if converted, their initial conversion price is set at HK$892.50, a 25% premium to the new share placement price, meaning conversion would only occur after a significant stock price recovery.
The High Cost of AI Development
This fundraising underscores the immense capital requirements for companies competing in the global AI race. Z.AI has earmarked the majority of the proceeds for strategic investments to maintain its competitive edge.
According to the company, approximately 60% of the net proceeds will fund research and development for its next-generation AI models and its self-training system. Another 15% is allocated for expansion, with the remainder intended to optimize its capital structure and for general corporate purposes. This move comes just two months after Z.AI raised about $4 billion in a follow-on share sale in July, highlighting the rapid pace of investment needed to compete with rivals in China and the U.S., including OpenAI and Google.
