SEC Proposes 'Regulation Crypto Asset' to Govern Digital Asset Offerings

The U.S. Securities and Exchange Commission (SEC) on Tuesday proposed a new set of rules designed to establish a regulatory framework for investment contracts involving crypto assets. The proposal, titled "Regulation Crypto Asset," follows an interpretative statement from the commission in March 2026 regarding the application of federal securities laws to digital assets.
Key Provisions of the Proposal
The proposed regulation introduces two key exemptions from the registration requirements of the Securities Act of 1933, creating new pathways for capital formation in the crypto sector. Both exemptions would require issuers to provide principles-based narrative disclosures to investors.
- First Exemption: Allows for offerings of up to $5 million in total over a four-year period.
- Second Exemption: Permits offerings of up to $75 million in total during any 12-month period. This tier would also mandate the provision of financial statements and require ongoing reporting obligations.
Additionally, the proposal includes a conditional safe harbor provision. If an asset meets the specified conditions, it would not be treated as an "investment contract" under the definition of a "security" in the Securities Act of 1933 and the Securities Exchange Act of 1934. The rules would also preempt state securities law registration for qualifying offerings and certain secondary market transactions.
Regulatory Aims and Context
AdThe SEC stated that the goal is to provide a clearer path for compliance for digital asset entrepreneurs and market participants. The move is intended to facilitate capital raising within the established federal securities law framework while work continues on broader regulatory structures.
"As the Commission continues to provide regulatory clarity for the crypto markets and Congress works toward a long-term regulatory framework, 'Regulation Crypto Asset' is intended to provide a clear path for crypto-asset entrepreneurs and market participants to raise capital in compliance with the federal securities laws," said SEC Chairman Paul S. Atkins, according to the announcement.
Next Steps and Implications
The proposal will be open for a 60-day public comment period after its publication in the Federal Register. For the crypto industry, the proposed rules could represent a significant step toward regulatory clarity, potentially streamlining the process for U.S.-based projects to raise funds without undertaking the full, complex process of a traditional securities registration.
