Background

Peloton (PTON) shares fell sharply in pre-market trading Tuesday after Morgan Stanley downgraded the stock, citing fundamental challenges to its business model that it views as structural rather than cyclical.

Morgan Stanley Flags Long-Term Headwinds

Analysts at Morgan Stanley lowered their rating on Peloton to Underweight from Equalweight and cut their price target to $4.50 from $5.00. The bank's report highlighted a severe and ongoing contraction in the company's customer acquisition.

Key points from the Morgan Stanley note include:

  • Gross customer additions have collapsed by approximately 78% from their peak.
  • Connected fitness subscriber growth was running at negative 9% year-over-year in fiscal 2026.
  • The bank projects this negative subscriber growth trend will persist through fiscal 2029.

Compounding Pressure from Analysts and Insiders

The negative sentiment was amplified by a separate analyst action from UBS. While maintaining a Buy rating, UBS lowered its price target on Peloton to $10.00 from $11.00, citing higher-than-expected subscriber churn. The firm also cut its fiscal 2027 EBITDA estimate to $491 million from a previous $526 million.

Adding to investor concerns, a pattern of insider selling has emerged. According to the report, six Peloton executives have sold shares over the past three months, with no corresponding insider purchases reported during that period.

Market Impact

Peloton stock was down 4.7% in pre-open trading, a move largely independent of broader market trends. The S&P 500 was down just 0.3%, indicating the sell-off was driven by company-specific news rather than a sector-wide rotation. The decline pushes the stock price closer to its 52-week low of $3.65 and further from its high of $9.20.
