Fitch Affirms Broadcom 'A-' Rating with Positive Outlook, Citing AI Backstop Risks

Fitch Ratings affirmed Broadcom's (NASDAQ:AVGO) Long-Term Issuer Default Rating at 'A-' and maintained its Positive outlook, signaling that strong operating momentum from artificial intelligence demand is bolstering the chipmaker's financial profile. However, the agency highlighted expanding credit risks from Broadcom's significant involvement in off-balance-sheet financing structures for its major AI customers.
AI Financing Arrangements Under Scrutiny
At the center of Fitch's assessment are Broadcom's commitments to more than $70 billion in lease-financing transactions. These complex arrangements are designed to support customers deploying large-scale AI infrastructure.
Key exposures cited by the rating agency include:
- A $43.5 billion residual value support pact for custom tensor processing unit (TPU) pods for a frontier AI laboratory.
- Commitments for a $42 billion convertible note facility and a $1.5 billion delayed draw term loan.
To reflect this underlying exposure, Fitch stated it will add an estimated $4 billion to Broadcom’s adjusted debt load by the end of fiscal 2027, a figure expected to scale to approximately $15 billion by fiscal 2029.
AdFinancial Strength and Market Context
Despite the financing risks, Fitch indicated that Broadcom's strong cash generation should keep its core EBITDA leverage below the agency's 1.5x upgrade threshold. The company's liquidity is seen as a substantial cushion, with post-dividend free cash flow projected to exceed $30 billion in fiscal 2026. Furthermore, predictable recurring revenue from its VMware and legacy software assets is expected to maintain operating EBITDA margins above 60%.
The agency cautioned that the broader AI infrastructure buildout is increasingly dependent on circular financing ties between suppliers, AI labs, and capital providers. A material pullback in capital expenditures from hyperscalers or a liquidity crunch at frontier labs could dampen hardware orders and create wider industry headwinds.
Path to Upgrade or Downgrade
Fitch outlined specific thresholds for future rating actions. An upgrade to 'A' would depend on Broadcom sustaining leverage below 1.5x while reducing its reliance on vendor-financing mechanisms. Conversely, the outlook could be revised to Stable if backstop-adjusted net debt crosses $150 billion, while a threshold of $185 billion was established for a potential downgrade, particularly if the underlying hardware values deteriorate sharply.
