Brady Corp. Raises $800 Million in Private Debt for Honeywell Unit Acquisition

Summary
Brady Corp. has successfully sold $800 million in private placement bonds to partially finance its $1.4 billion acquisition of a productivity solutions business from Honeywell International Inc.
Brady Corp. (NYSE: BRC) has raised $800 million in a private debt offering to help fund its pending acquisition of a unit from Honeywell International Inc., according to a Bloomberg report citing people familiar with the matter.
Details of the Offering
The maker of signs and labels sold the private-placement bonds across three different tranches with maturities ranging from five to ten years. The debt received a private investment-grade rating.
The largest portion of the sale was a $300 million seven-year note, which priced at a spread of 1.25 percentage points over the equivalent U.S. Treasury yield. The transaction was arranged by BMO Capital Markets, the report stated.
AdFinancing the Acquisition
The proceeds are earmarked to support Brady's $1.4 billion purchase of Honeywell's Productivity Solutions and Services (PSS) business, an agreement first announced in April. The PSS division, which generated approximately $1.1 billion in revenue in 2025, specializes in mobile computers, barcode scanners, and printing solutions for the logistics industry.
In addition to the private bond sale, BMO previously syndicated a $1 billion term loan to other lenders to support the acquisition. The successful debt placement finalizes a key component of the deal's financing structure. Following the news, shares of Brady Corp. rose 2%.
