BNP Paribas Reportedly Weighs Landmark €16 Billion Synthetic Risk Transfer Deal

BNP Paribas SA is exploring a landmark synthetic risk transfer (SRT) transaction linked to a corporate loan portfolio of approximately €16 billion ($17.9 billion), according to a Bloomberg report citing people familiar with the matter. The potential deal would be one of the largest of its kind and signals accelerating issuance in the European market for regulatory capital relief.
Transaction Details
The Paris-based bank intends to transfer the risk on the first-loss portion of the loan pool, which amounts to about 5% of the portfolio's total value. This transaction would reportedly be executed through its established Resonance program, a vehicle BNP Paribas uses to hedge its corporate credit exposures across major markets.
In addition to the main deal, the lender is also said to be considering a separate SRT backed by approximately €1.5 billion in mid-market leveraged buyout loans. Under SRT structures, banks buy credit protection on the riskiest, or junior, tranches of a loan portfolio from investors, which frees up regulatory capital without removing the assets from their balance sheets.
Market Accelerates Amid Headwinds
The move comes amid a broader surge in SRT issuance across Europe, with the report highlighting five potential transactions tied to a combined €25.2 billion in underlying assets. This trend underscores resilient demand from institutional investors, such as pension funds and private credit managers, who are attracted to the yield premiums offered by these complex securities.
AdThe market's momentum persists even as financial markets face macroeconomic pressures, including persistent inflation and geopolitical uncertainty. For banks, SRTs remain an efficient tool for managing capital requirements and continuing to lend to clients.
Other European Lenders Tap Market
BNP Paribas is not alone in tapping the SRT market. Other major European banks are also actively preparing deals, showcasing growing diversification in the asset class:
- Société Générale SA is reportedly exploring an SRT linked to a loan portfolio of roughly €3 billion for French small and medium-sized enterprises (SMEs).
- Banco Santander SA is gauging investor interest for two separate transactions: one covering a €3.3 billion Spanish SME portfolio and another providing unfunded credit protection on €1.4 billion in Portuguese residential mortgages.
