Background

Shares of Viking Therapeutics Inc. (NASDAQ: VKTX) fell 3.3% in after-hours trading on Wednesday following the company's announcement of a proposed plan to raise $400 million through separate public offerings of stock and convertible debt.

Details of the Capital Raise

Viking Therapeutics, a clinical-stage biopharmaceutical firm, intends to raise capital through two distinct offerings, according to a company statement. The completion of one offering is not contingent on the other.

  • Common Stock: An offering of $200 million of its common stock.
  • Convertible Notes: A separate offering of $200 million in aggregate principal amount of convertible senior notes, which are due in 2032.

The company also plans to grant the underwriters a 30-day option to purchase up to an additional $30 million of common stock and $30 million of the convertible notes to cover potential over-allotments. Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC are acting as joint book-running managers for both offerings.

Terms of the Convertible Notes

The convertible senior notes will be senior, unsecured obligations of Viking, with interest payable semi-annually. The notes are set to mature on October 15, 2032, unless they are repurchased, redeemed, or converted earlier.

Noteholders will have the right to convert their notes under certain circumstances. Viking stated it may settle conversions by delivering cash, shares of its common stock, or a combination of both. The company also retains the option to redeem the notes for cash on or after October 22, 2029, if the stock's sale price exceeds 130% of the conversion price for a specified period.

Market Impact

The decline in Viking's share price is a typical market reaction to the announcement of a secondary stock offering. The issuance of new shares can dilute the ownership stake of existing shareholders, often placing downward pressure on the stock's value. The convertible notes also represent potential future dilution if they are converted into common stock. As a clinical-stage company focused on metabolic and endocrine disorders, Viking is likely raising capital to fund further research and development activities.
