Background

Shares of MercadoLibre Inc. (NASDAQ:MELI) declined on Wednesday following a report that the Latin American technology firm is returning to the global debt markets. The company's stock was down 2.8% in response to the news.

Details of the Offering

According to a report by Bloomberg, MercadoLibre is offering U.S. dollar-denominated notes that will mature in 2036. The initial pricing discussion for the bonds is a spread of approximately 160 basis points over comparable U.S. Treasury securities.

The proceeds from the sale are intended for general corporate purposes, the report stated. This marks the company's first bond sale since December and only its third international offering since its inaugural global bond in 2021.

Credit Rating and Underwriters

The new notes have received investment-grade credit ratings from major agencies, albeit at the lowest tier of that category.

A consortium of major banks, including Allen & Company, BofA Securities, Citigroup, Goldman Sachs, JPMorgan, Morgan Stanley, and Santander, is managing the transaction, according to Bloomberg.

Market Context

MercadoLibre is a dominant player in e-commerce and financial technology across 18 countries in Latin America. Companies often issue debt to raise capital for expansion, refinancing, or other corporate activities. The negative stock reaction may reflect investor concerns about increased leverage on the company's balance sheet or the potential use of the new capital.
