Background

Tailored Brands Inc., the parent company of menswear retailers Men's Wearhouse and Jos. A. Bank, has publicly filed for an initial public offering, a significant step in its return to public markets after emerging from bankruptcy protection in 2020. The Houston-based company plans to list its shares on the Nasdaq Global Select Market under the ticker symbol MENW.

Financial Health Revealed

According to its filing with the U.S. Securities and Exchange Commission, Tailored Brands demonstrated revenue growth but a slight decline in profitability in its most recent quarter. The filing provided the following key financial details for the three months ended May 2:

  • Revenue: $681.8 million, an increase from $644.4 million in the same period a year earlier.
  • Net Income: $44.9 million, down from $50.7 million in the prior-year period.

This financial snapshot offers potential investors a first look at the company's performance as it prepares for its listing. The public filing follows a confidential IPO submission made in late April.

Tailored Brands' journey back to the public market follows a period of significant restructuring. The company filed for Chapter 11 bankruptcy protection in August 2020, as pandemic lockdowns sharply reduced demand for office and formal wear.

It emerged from bankruptcy by the end of 2020 after successfully eliminating $686 million of debt from its balance sheet. The filing indicates that credit-focused hedge fund Silver Point Capital, which currently controls the company, is expected to maintain voting control after the IPO.

Market Context and Leadership

The offering is being led by a team of prominent investment banks, including Goldman Sachs, Morgan Stanley, and Jefferies. In preparation for the listing, Tailored Brands has also refreshed its leadership, appointing former Footlocker executive Mike Baughn as its chief financial officer and promoting former Nike executive Karla Gray to chief operating officer in November.

The move comes amid a period of renewed activity for consumer-focused IPOs. Other companies in the sector, such as Jersey Mike's Subs and Inspire Brands, have also recently filed for public listings, suggesting a potentially receptive market for consumer-facing stocks.
