Background

Williams Companies (NYSE:WMB) announced a $5.34 billion strategic joint venture with an investor group led by Blackstone Credit & Insurance to fund five major energy infrastructure projects, sending its shares up by 1% in Monday trading.

Deal Structure

Under the terms of the agreement, funds managed by Blackstone, in partnership with Apollo and KKR, will acquire a 49% noncontrolling equity interest in a portfolio of five designated "Power Innovation" projects. Williams will retain the remaining 51% majority stake and maintain full operational and commercial control of the assets.

The total commitment from the investment group includes $4.4 billion to cover its 49% share of the projects' expected growth capital expenditures, along with approximately $0.9 billion in additional consideration paid to Williams. The agreement also grants Williams a buyout right to repurchase the stake between the seventh and fourteenth years of the partnership.

Financial and Strategic Implications

This partnership provides Williams with a significant infusion of equity capital, allowing it to fund a backlog of over 6 GW of projects while reducing its direct capital exposure and limiting the need to raise corporate debt. Williams stated the structure is designed to enhance project returns and preserve balance sheet capacity for future opportunities.

Following the announcement, Williams maintained its 2026 financial guidance, affirming key projections:

  • Adjusted EBITDA: Expected in the upper half of its $8.05 billion to $8.35 billion range.
  • Growth Capex: Remains between $7.0 billion and $7.6 billion.
  • Maintenance Capex: Unchanged at $850 million to $950 million.

The company did update its 2026 leverage ratio midpoint to approximately 3.6x, which remains within its long-term target range of 3.5x to 4.0x. Blackstone's investment will be consolidated in Williams' financial reporting as a noncontrolling interest.
