Private equity firm Silver Lake has filed a lawsuit against billionaire investor Carl Icahn and dozens of hedge funds, seeking to block them from pursuing a potentially lucrative legal challenge over the firm's 2025 acquisition of entertainment giant Endeavor.

The suit, filed Monday in Delaware's Court of Chancery, asks a judge to rule that the funds are not entitled to seek a court-ordered "appraisal" of their Endeavor shares, a move that could save Silver Lake from paying out hundreds of millions of dollars.

The Appraisal Arbitrage Strategy

Silver Lake's legal action centers on its $13 billion take-private acquisition of Endeavor, which was priced at $27.50 per share and announced in 2024. The lawsuit alleges that after the deal was announced, the defendant hedge funds engaged in appraisal arbitrage—a strategy where investors buy shares of a company post-merger announcement specifically to sue for a higher valuation.

Delaware corporate law permits investors who dissent from a merger to file an appraisal action, asking a court to determine the stock's "fair value." According to the lawsuit, Endeavor became a prime target for this strategy because its majority stake in TKO Group Holdings (owner of WWE and UFC) saw its value increase after the deal was announced. This led arbitrage-focused funds to acquire Endeavor stock, even at prices above the deal value, betting a court would appraise the shares higher.

A Test of Shareholder Rights

In its filing, Silver Lake characterized the defendants not as genuine dissenting shareholders but as "opportunistic arbitrageurs" attempting to misuse the legal system for profit. The firm also accused Icahn of coordinating with the appraisal funds to purchase Endeavor stock, an allegation the lawsuit states Icahn and the funds have denied.

While Icahn did not file an appraisal claim, he has launched a separate class-action lawsuit alleging that Silver Lake and Endeavor's management breached their fiduciary duties to investors. The legal battle comes as appraisal cases have reportedly increased in Delaware, which lawyers suggest may be a consequence of recent changes to state corporate law that have made other types of shareholder lawsuits more difficult to pursue.
