The SEC issued what it calls the "Innovation Exemption," a five-year plan that allows for the trading of tokenized stocks through specially designated platforms. The guidance follows the failure of the Clarity Act to pass a Senate vote on Tuesday and represents a regulatory path forward for digital assets.
According to the announcement, the plan grants two key forms of temporary, conditional relief under the Securities Exchange Act of 1934:
- It exempts certain trading platforms, called Tokenized Securities Venues (TSVs), from the legal definition of an "exchange."
- It exempts certain liquidity providers on these venues from the definition of a "dealer."
SEC Chairman Paul S. Atkins said the exemption is "a significant step forward... to bring America’s capital markets into the digital age by facilitating onchain trading of certain tokenized stocks."
Investor Protections and Market Impact

TSVs must be U.S.-based entities and comply with all sanctions programs administered by the Office of Foreign Assets Control (OFAC). Furthermore, tokenized securities must grant holders the same dividend and voting rights as their traditional counterparts, and corporate issuers will retain the right to prevent their stock from being traded on a TSV.
For companies like Robinhood, which operate at the intersection of retail investing and digital assets, the guidance could open up new business opportunities. The framework provides a clearer, albeit temporary, regulatory runway for developing and offering tokenized versions of traditional stocks to U.S. investors.
Context and Industry Outlook
The new guidance is an outcome of the SEC's "Project Crypto," an initiative launched over a year ago to modernize financial regulations for onchain markets. While the exemption is a positive development for crypto firms and digital asset proponents, some industry participants have expressed concern, noting that a future administration could reverse the guidance if it is not codified into law.
The SEC has indicated that the five-year exemption period will allow tokenized stock trading to proceed while the Commission evaluates the need for further, more permanent regulatory action.
