Ingenia Communities Shares Rise on A$2.2 Billion Takeover Bid from AVID

Ingenia Communities (ASX:INA) shares surged on Monday after the retirement and holiday community operator disclosed it had received a non-binding A$2.2 billion ($1.5 billion) takeover proposal from AVID Property Group. The unsolicited offer escalates a bidding contest for the Australian real estate company.
The Proposal
According to a stock exchange filing, AVID Property Group has proposed acquiring all of Ingenia's stapled securities. AVID's bid is reportedly backed by a global sovereign wealth fund and a global financial sponsor.
The indicative offer includes:
- A cash payment of A$5.35 per security.
- A potential distribution of up to 5 Australian cents per security, bringing the total possible consideration to A$5.40.
This proposal values Ingenia at a 13.4% premium to its last closing price before the announcement was made.
Market Reaction and Next Steps
AdInvestors responded positively to the news, with Sydney-listed Ingenia shares rising 5.4% to A$5.015 in morning trade. The offer price suggests a significant valuation for the operator of lifestyle and holiday communities.
Ingenia's board has granted AVID a six-week period of "soft exclusivity" to progress discussions and conduct due diligence. However, the company cautioned that there is no certainty the indicative proposal will lead to a binding offer or a completed transaction.
A Competitive Bidding Landscape
AVID's bid intensifies an ongoing takeover battle for Ingenia. The new proposal comes after private equity firm Warburg Pincus made a revised offer of A$5.25 per security.
The situation is further complicated by Ingenia's existing agreement to acquire property developer Peet Ltd. The board stated it has not yet determined if AVID's proposal is superior to its current strategic plans, a key factor for investors monitoring the potential outcomes.
