Offer Details

The planned tender offer is expected to launch in November at a price of approximately 713 zloty ($185.95) per share in cash. According to the announcement, this price represents an 11.7% discount to Erste Bank Polska’s closing share price of 807.6 zloty on Friday.

Erste Group stated it will use internal resources to finance the transaction. The bank confirmed it expects to maintain a strong capital position post-acquisition, with its Common Equity Tier 1 (CET1) ratio remaining above 14.25%. The group’s CET1 ratio stood at 15.2% at the end of the first half of the year.

Strategic Rationale

The primary goal of the offer is to increase Erste Group's stake in the Polish bank to over 50%, thereby gaining a controlling interest. The company intends to keep its holding below 75% to comply with Warsaw's minimum free float requirements for publicly listed companies.
