Background

Dell Technologies Inc. (NYSE:DELL) has entered the corporate bond market with a multi-tranche offering aimed at raising approximately $4 billion, according to preliminary prospectus documents filed with the U.S. Securities and Exchange Commission.

Net proceeds from the sale are primarily intended to redeem the company's outstanding 4.900% First Lien Notes due in October 2026, with the remainder allocated for general corporate purposes and debt management, the filing stated.

Offering Details

The public offering consists of senior unsecured notes issued jointly by Dell International L.L.C. and EMC Corporation. According to reporting from Bloomberg, the deal is structured across four tranches with maturities ranging from three to 10 years.

Initial price discussions for the longest-dated tranche suggest a spread of up to 140 basis points over comparable U.S. Treasuries, Bloomberg reported. A large syndicate of Wall Street banks, including Barclays, BofA Securities, Citigroup, and J.P. Morgan, are managing the sale.

Credit rating agencies viewed the new issuance favorably, assigning solid investment-grade ratings. S&P Global Ratings and Fitch Ratings both assigned a 'BBB+' rating to the notes, while Moody's rated them 'Baa2' with a positive outlook.

Analysts noted that the refinancing comes as Dell experiences explosive growth in its AI-related business. S&P Global highlighted that Dell's backlog for AI infrastructure has surged to $95 billion. The agency also pointed to a multi-year catalyst from an estimated 1.2 million legacy servers approaching an upgrade cycle as enterprises retool for AI workloads.

Balance Sheet Strength

Despite the new debt, rating agencies project Dell's leverage metrics will remain healthy. Moody's anticipates that adjusted debt-to-EBITDA will return toward 1.0x over the next 12 to 18 months, supported by growing earnings.

Dell maintains a strong liquidity position, with $11.6 billion in cash as of July 31, 2026, and an undrawn $6 billion revolving credit facility, according to the SEC filing. Following the announcement, shares of Dell rose over 3% in Wednesday morning trading.
