Axogen Shares Fall After Pricing $208.7 Million Stock Offering

Shares of Axogen Inc. (NASDAQ:AXGN) fell 5.2% in premarket trading Thursday after the peripheral nerve restoration company priced an underwritten public offering expected to generate approximately $208.7 million in gross proceeds.
Offering Details
Axogen announced it is offering 4.91 million shares of its common stock to the public at a price of $42.50 per share. The offering is expected to close on September 11, 2026, subject to customary closing conditions.
Key details of the offering include:
- Gross Proceeds: Approximately $208.7 million, before deducting underwriting discounts and commissions.
- Underwriter Option: The underwriters have a 30-day option to purchase up to an additional 736,500 shares at the public offering price.
- Lead Managers: BofA Securities, Jefferies, and Wells Fargo Securities are serving as lead book-running managers for the deal.
AdUse of Proceeds and Market Impact
The company stated its intention to use the net proceeds to fund the cash portion of its previously announced acquisition of BioCircuit Technologies, Inc., as well as to cover related fees and expenses.
The drop in Axogen's stock price reflects the dilutive effect of the new shares on existing investors' holdings. The company noted that the offering is not contingent on the completion of the BioCircuit acquisition. If that deal does not close, Axogen will use the funds for general corporate purposes, including working capital and capital expenditures.
