The Debt Offering
Voyager Technologies said it intends to offer the convertible senior notes, which are due in 2032, to qualified institutional buyers. According to the company's statement, initial purchasers will have an option to acquire up to an additional $52.5 million in notes.
The notes will be senior, unsecured obligations of the company, with interest payable semi-annually. Voyager stated it plans to use the net proceeds for general corporate purposes, which may include supporting organic growth and funding strategic acquisitions.
Investor Impact and Dilution Concerns
The negative stock reaction reflects investor concerns about potential shareholder dilution. Convertible notes can be converted into a company's common stock at a later date, which increases the total number of shares outstanding and can reduce the value of existing shares.
AdTo mitigate this, Voyager said it will use a portion of the proceeds to enter into capped call transactions. These are designed to reduce the potential dilution to the company's Class A common stock upon any conversion of the notes. The company also noted that hedging activities by the financial institutions involved in these transactions could influence the market price of its stock.

The notes will mature on October 15, 2032, unless repurchased, redeemed, or converted earlier. Key conditions outlined by the company include:
- Conversion: Noteholders can convert their notes into cash, shares of Voyager's Class A common stock, or a combination, under certain circumstances.
- Redemption: Voyager has the option to redeem the notes for cash starting October 21, 2030, if its stock price exceeds 130% of the conversion price for a specified period.
- Repurchase: Noteholders can require Voyager to repurchase their notes for cash if certain fundamental corporate changes, such as a merger, occur.
