Rapport Therapeutics Shares Plunge After Announcing $350 Million Capital Raise

Shares of Rapport Therapeutics (NASDAQ:RAPP) plunged 20% in premarket trading Wednesday after the company announced the pricing of a combined capital raise of approximately $350 million. The financing consists of a public stock offering, a private placement, and an issuance of convertible senior notes.
Details of the Offerings
Rapport Therapeutics' capital raise is structured across several components, designed to secure long-term funding for the company. The company priced the offerings as follows:
- Public Offering: Approximately $175 million in common stock priced at $21.00 per share, along with up to $25 million in pre-funded warrants.
- Convertible Debt: A $150 million offering of 2.25% convertible senior notes, which will mature on December 1, 2032.
- Private Placement: A concurrent private placement with an existing investor for an additional $30 million of common stock at the same $21.00 offering price.
The convertible notes have an initial conversion price of approximately $26.78 per share, representing a 27.5% premium over the public offering price. The offerings are expected to close on or about October 30, 2026.
Market Reaction and Investor Impact
AdThe announcement sent the company's stock down sharply, as the $21.00 offering price represents a significant discount to the stock's previous market price. Such offerings dilute the value of existing shares, which typically causes a stock's price to adjust downward toward the new offering price. The convertible notes also introduce the potential for future dilution if they are converted into common stock.
After deducting underwriting discounts and other expenses, Rapport expects to receive net proceeds of approximately $187.5 million from the stock offering, $145 million from the notes, and $28.2 million from the private placement.
Use of Proceeds and Financial Runway
Rapport stated that it intends to use the proceeds primarily to advance the clinical development of its lead drug candidate, RAP-219. The funds will also support further research and development, working capital, and other general corporate purposes.
Crucially for investors, the company projects that the fresh capital, combined with its existing cash and investments, will be sufficient to fund its operations through the end of 2029. This provides a significant financial runway for the clinical-stage firm. Morgan Stanley, Leerink Partners, and Evercore ISI are serving as joint book-running managers for the offerings.
