Background

Fitch Ratings affirmed Moody’s Corporation’s (NYSE:MCO) Long-Term Issuer Default Rating (IDR) at 'BBB+' and revised the company's outlook to Positive from Stable on Friday. The move signals a potential future upgrade and reflects confidence in Moody's financial strength and strategic direction.

Key Drivers for the Outlook Revision

According to the rating agency, the Positive outlook is underpinned by Moody’s strong market position as a leading global credit rating agency, its increased scale, and its consistent financial policies. Fitch highlighted the company's sustained and expanding free cash flow as a critical factor.

Moody's financial health was noted as a key strength, ending 2025 with:

  • EBITDA leverage of 1.7x.
  • More than $2 billion of cash on its balance sheet.
  • An undrawn revolving credit facility and a $1 billion commercial paper program, providing significant liquidity.

Diversification and Profitability

Fitch noted that Moody's business model is highly profitable and cash-generative, benefiting from low capital intensity and strong operating leverage. The company's diversification into non-rating revenue streams was cited as a key credit support.

The Moody's Analytics division now provides substantial recurring revenue, representing more than 40% of the company's total revenue. This diversification helps to insulate the company from fluctuations in debt issuance markets, which directly impact the ratings business.

Path to a Potential Upgrade

Fitch stated that a ratings upgrade could occur if Moody's continues to grow while maintaining its strong margin and free cash flow profile. The agency expects Moody's to continue returning significant capital to shareholders through dividends and share repurchases while keeping its credit metrics stable.

Fitch's rating assumptions project that Moody's EBITDA leverage will remain below 2.0x and that its EBITDA margins will be sustained above 50% in the coming years. Revenue growth is expected to align with management's 2026 guidance before tapering to lower single-digit growth in 2027 and beyond.
