The all-cash offer is set at approximately 713 Polish zloty ($185.95) per share, which represents an 11.7% discount to Erste Bank Polska's closing price of 807.6 zloty on Friday. The tender offer is expected to commence in November.
Erste Group currently holds a 49% stake in the Polish bank. The transaction aims to increase this holding to over 50%, while remaining below the 75% threshold to ensure compliance with regulatory requirements for minimum free-floating shares.
Strategic Rationale and Financial Impact

The acquisition will be financed entirely through Erste Group's internal funds. As of the end of the first half of the year, the group's CET1 ratio was 15.2%.
