Background

Industrial battery manufacturer EnerSys (NYSE:ENS) has agreed to acquire Ultralife Corporation (NASDAQ:ULBI) in an all-cash transaction valued at approximately $320 million, including net debt. The deal, announced Wednesday, is a strategic move by EnerSys to deepen its footprint in the specialized defense power technology sector.

Deal Terms and Market Reaction

Under the unanimously approved agreement, EnerSys will initiate a tender offer to acquire all outstanding shares of Ultralife common stock for $16.00 per share in cash. The offer price represents a significant 166% premium to Ultralife's closing stock price on October 26.

Investors reacted sharply to the news in premarket trading. Shares of Ultralife surged by as much as 145%, reflecting the substantial premium offered to its shareholders. EnerSys shares also gained 2.3%, indicating investor approval of the strategic acquisition.

Strategic Rationale

The acquisition is set to significantly expand EnerSys's portfolio in high-growth military applications, including power systems for drones, counter-unmanned systems, munitions, and soldier-worn equipment. Ultralife, which reported $191 million in revenue for fiscal 2025, brings specialized manufacturing facilities that are compliant with Foreign Entity of Concern (FEOC) standards, a key requirement for defense supply chains.

EnerSys stated it expects the combination to generate $15 million to $20 million in annual run-rate cost synergies within the first 18 months. The company also anticipates the transaction will be accretive to its adjusted diluted earnings over the same timeframe.

Transaction Outlook

EnerSys plans to fund the entire transaction with cash on hand, eliminating any financing contingencies. The deal's completion is subject to customary closing conditions, including the tender of a majority of Ultralife's outstanding common stock and the receipt of regulatory clearances.

Both companies are targeting a final closing in the first quarter of 2027.
