CoreWeave Reveals Record AI Pricing, But $3 Billion Debt Offering Caps Stock Gains

Shares of AI infrastructure provider CoreWeave (CRWV) saw minimal gains on Thursday, as news of exceptionally strong demand and pricing for its services was offset by the announcement of a major debt offering and potential stock dilution.
Unprecedented Demand and Pricing Power
CoreWeave disclosed figures that highlight the intense demand for artificial intelligence computing capacity. The company said it secured short-term contracts in the third quarter at a rate equivalent to $40 million per megawatt in annualized revenue, a signal of significant pricing power.
Underscoring this demand, CoreWeave also reported it had secured over $25 billion in net new customer commitments early in Q3. To support this growth, the company has expanded its total contracted power footprint to 4.2 gigawatts, according to its recent announcements.
Dilution Fears Temper Investor Enthusiasm
The company's capital-intensive expansion plans led to financing measures that weighed on the stock. CoreWeave announced a $3 billion offering of convertible senior notes due in 2033, with an option for purchasers to buy an additional $500 million.
AdCompounding investor concerns about dilution, the company also filed an agreement for the potential future sale of up to 35 million common shares. While CoreWeave stated it will use a portion of the proceeds for capped call transactions to mitigate immediate dilution from the notes, the large financing package limited the stock's advance to just 1% on Thursday.
Market Impact
The pricing data from CoreWeave had a significant positive effect on sector peer Nebius Group (NBIS), whose shares surged 9%. Investors appeared to extrapolate CoreWeave's strong pricing across the AI infrastructure industry.
Nebius Group benefited fully from the positive market signal, as it had already completed its own convertible debt financing in August. This left its stock unburdened by the fresh dilution concerns that faced CoreWeave, allowing it to ride the industry tailwind.
