Background

Shares of Axon Enterprise, Inc. (NASDAQ:AXON) fell 5% in Tuesday trading following the company's announcement of a proposed public offering of $1.0 billion in convertible senior notes.

Offering Details

According to the public safety technology company, the notes will be senior, unsecured obligations and will not bear regular interest. They are set to mature on September 15, 2031, unless they are converted, redeemed, or repurchased before that date.

Axon also plans to grant the underwriters an option to purchase up to an additional $150.0 million in notes to cover over-allotments. The company stated that upon conversion, it may settle its obligation in cash, shares of its common stock, or a combination of both, at its own election.

Use of Proceeds and Dilution Mitigation

Axon intends to use the net proceeds for general corporate purposes, which could include funding growth, and acquiring or investing in new product lines or technologies. A portion of the funds will be used to pay for privately negotiated capped call transactions.

These capped call transactions, expected to be entered into with one or more of the offering's underwriters, are a common financial strategy designed to reduce the potential for dilution to existing shareholders' stock value when the notes are eventually converted into shares. Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC, and J.P. Morgan Securities LLC are among the joint lead book-running managers for the offering.

Market Impact and Context

The negative stock reaction reflects investor concerns about the potential for future shareholder dilution. Although the capped calls are intended to mitigate this impact, the issuance of convertible debt introduces the possibility of an increased number of outstanding shares, which can place downward pressure on a stock's price.

The terms of the offering also include a redemption provision. Starting September 20, 2029, Axon may redeem the notes for cash if its stock price has been at least 130% of the conversion price for a specified period of trading days.
