United Airlines Reportedly Explored Merger with Delta Before Approaching American

Summary
United Airlines reportedly made a merger approach to rival Delta Air Lines last year, and later to American Airlines, signaling an ambition for major consolidation that would have faced significant regulatory hurdles.
United Airlines (NASDAQ: UAL) reportedly approached rival Delta Air Lines (NYSE: DAL) last year to explore a potential merger, a move that would have dramatically reshaped the U.S. aviation industry, according to a report from The Wall Street Journal.
The Merger Overtures
The discussions were initiated when United CEO Scott Kirby contacted Delta CEO Ed Bastian, The Wall Street Journal reported Sunday, citing people familiar with the matter. Delta's leadership reportedly considered the proposal and conducted preliminary due diligence, but the talks did not progress, and the two carriers moved on.
Following the unsuccessful approach to Delta, Mr. Kirby later attempted to engage in similar merger discussions with American Airlines (NASDAQ: AAL). That overture was also reportedly rejected.
Significant Antitrust Concerns
AdAny tie-up between United and either Delta or American would have created a carrier with unprecedented market share, almost certainly triggering intense antitrust scrutiny from federal and state regulators. The U.S. airline industry is already highly concentrated, dominated by four major carriers following a wave of mergers over the past two decades.
Industry officials have long believed that any further consolidation among these top airlines would face significant opposition from the Department of Justice. The previously unreported approaches highlight how some airline executives were exploring transformative deals amid speculation that a different presidential administration could adopt a more permissive stance on large-scale mergers.
Industry Context
These exploratory talks occurred against a backdrop of economic uncertainty and heightened regulatory focus on major corporate deals. While some business leaders had hoped for a more favorable M&A environment, the potential for a lengthy and challenging regulatory battle remains a major deterrent for such transformative transactions in the airline sector.
