S&P Upgrades Synopsys to 'BBB+' on Strong AI-Driven Growth Outlook

S&P Global Ratings has upgraded its credit rating for Synopsys Inc. (NASDAQ:SNPS) to 'BBB+' from 'BBB', assigning a stable outlook. The agency attributed the move to the chip-design software leader's strengthening long-term operating momentum, which was highlighted during a recent analyst day presentation.
Upgraded Financial Projections
The upgrade reflects S&P's revised financial expectations for Synopsys through the end of the decade. The ratings agency now projects a more robust growth and profitability profile for the company.
Key forecast changes include:
- Annual revenue growth is now expected in the mid-teens percentage range through 2029, a significant increase from a previous forecast of roughly 10%.
- EBITDA margin projection for 2029 was lifted to 49% from a prior 45%.
These adjustments align with Synopsys management's updated targets, which aim for 15% annualized revenue expansion and 50% operating margins by 2030, according to S&P.
AI Demand and Strategic Execution
AdS&P noted that Synopsys is well-positioned to capitalize on the artificial intelligence boom. The agency believes the company is insulated from the disruptive potential of generative AI, viewing it instead as a volume catalyst. The deterministic, physics-based complexity required to validate advanced semiconductors means automated design iterations will drive more use of Synopsys's core verification and simulation tools.
The agency also highlighted strong strategic execution, including the integration of engineering simulation firm Ansys, which is proceeding ahead of schedule. S&P credit analysts noted that $400 million in projected cost synergies are now expected by fiscal 2027, a year earlier than initially planned. This is complemented by expanding commercial traction, such as a recent intellectual property agreement with Amazon valued at over $1 billion.
Capital Policy and Future Outlook
Despite the stronger operating profile, S&P expects Synopsys's credit metrics to remain broadly steady. The company plans to increase capital returns, targeting as much as 50% of its cash flow for share repurchases. While management has moved away from a previous goal of maintaining net leverage below 1x, S&P stated that such a low level was not a prerequisite for the higher rating.
Looking ahead, S&P indicated that a further upgrade could be considered if Synopsys demonstrates an ability to comfortably sustain leverage below 2x while navigating future strategic acquisitions.
