Background

Shares of Reliance Worldwide Corporation Ltd (ASX: RWC) rallied on Wednesday after the company announced it had entered into a binding agreement to be acquired by Brookfield Asset Management. The plumbing and water-flow solutions manufacturer's board has unanimously recommended the cash offer, which values the company at an enterprise value of approximately A$4.1 billion.

The Acquisition Agreement

Under the terms of the deal, Brookfield will acquire all outstanding shares of Reliance Worldwide (RWC) for A$4.75 per share in cash. The transaction values the company at an enterprise value of roughly A$4.1 billion, or approximately US$2.8–2.9 billion, according to a report from Investing.com.

The acquisition will be put to a shareholder vote and is subject to customary regulatory and government approvals. The RWC board's unanimous recommendation is a key step toward finalizing the transaction.

Path to the Deal

The binding offer represents the fourth and final approach from Brookfield, which had previously made three unsolicited, non-binding proposals at A$4.15, A$4.25, and A$4.50 per share. The successful bid followed a four-week exclusivity period that ended September 15, during which Brookfield completed its confirmatory due diligence.

Notably, the agreement includes a 30-day "go-shop" window. This provision allows RWC to actively solicit and consider superior competing proposals, providing an opportunity for shareholders to potentially realize a higher value for their investment.

Market Reaction

Following the announcement, RWC shares surged 4.3% to close at A$4.51 on the Australian Securities Exchange. The stock's performance significantly outpaced the broader S&P/ASX 200 index, which rose by 0.1% on the day.

The closing share price remains below the A$4.75 offer price, which is common in such situations as it reflects the time value of money and the residual risk that the deal may not be completed.
