Pegasystems Stock Declines After JPMorgan Downgrade to Neutral

Shares of Pegasystems (NASDAQ:PEGA) fell on Thursday after JPMorgan downgraded the software company to Neutral from a previous Overweight rating. The bank also lowered its price target on the stock to $47.00 from $54.00, prompting a 2% decline in the company's shares during the trading session.
Analyst Cites Near-Term Uncertainty
The downgrade by JPMorgan analyst Alexei Gogolev followed a virtual meeting with Pegasystems' management, including COO & CFO Ken Stillwell. According to the analyst's note, the bank's confidence in the company's near-term performance has waned.
JPMorgan highlighted several key concerns:
- Management described customer conversations as more normalized but did not confirm that deal close rates have fully recovered.
- The firm's go-to-market strategy shift is expected to take more time to translate into consistent pipeline conversion.
- JPMorgan lowered its own revenue growth outlook for Pegasystems, making the company's fiscal 2028 free cash flow target of $700 million+ more dependent on execution and cost-cutting.
AdFinancial Visibility Clouded
The analyst stated that "near-term quarters are likely to remain noisy even if the long-term positioning is sound." Visibility into the company's fiscal 2026 cash flow is affected by several factors, including legal costs, increased seasonality, and a lower run-rate for annual contract value (ACV) following a shortfall in the first half of the year.
Despite the downgrade, the report noted some positive operational developments. Management said that approximately 20% of Pega Cloud clients have already adopted its latest Infinity 26 environment within 30 days of its release, with an internal goal to reach 50-75% by the end of the year.
