Background

Netflix Inc. is tapping the U.S. investment-grade bond market for the second time, offering new debt to refinance existing obligations. The move allows the streaming company to manage its balance sheet and lock in financing.

Offering Details

The company is selling senior unsecured notes due in 2036, according to a report from Bloomberg News. Initial price discussions suggest a yield of approximately 0.95 percentage points, or 95 basis points, over comparable U.S. Treasury bonds.

In a company filing, Netflix stated that the proceeds will be used for general corporate purposes, which includes repaying approximately $1 billion of debt that is scheduled to mature later this year. The offering is being managed by a group of banks including:

  • BNP Paribas SA
  • Morgan Stanley
  • RBC Capital Markets Corp
  • Wells Fargo Corp

Market Context

This marks Netflix's first return to the high-grade debt market since its successful debut offering in 2024. In that initial sale, the company raised $1.8 billion and attracted more than ten times that amount in investor orders, signaling strong market confidence.

By issuing new long-term debt, Netflix is engaging in a common corporate finance strategy to extend its debt maturity profile. This allows the company to replace near-term liabilities with debt that comes due further in the future, providing greater financial flexibility.
