MDA Space Stock Slides on Upsized Equity Offering for CLS Acquisition
Text size
Background

Shares of MDA Space Ltd. declined significantly on Thursday after the company upsized a large equity offering priced at a steep discount. The capital raise is intended to finance the acquisition of a majority stake in French Earth observation company Collecte Localisation Satellites (CLS).

Details of the Offering

MDA Space announced an amended agreement with a syndicate of underwriters, led by BMO Capital Markets and RBC Capital Markets, to increase the size of its previously announced bought deal. The key terms of the upsized offering include:

  • Shares Offered: 23 million common shares, an increase from the original 20 million.
  • Offering Price: $35.60 per share.
  • Gross Proceeds: Approximately $819 million (C$819 million), up from the initial $712 million.

The offering price represents a significant discount to the stock's recent trading levels, a factor that is the primary driver of the sell-off. The increase in the number of shares being sold has heightened investor concerns about share dilution, putting further downward pressure on the stock price.

Strategic Acquisition of CLS

The proceeds from the share sale are earmarked to fund MDA's acquisition of an approximately 70% interest in CLS for about €567 million (C$920 million) in cash. The French space agency, CNES, will retain the remaining 30% stake.

MDA expects the acquisition to double its recurring revenue stream and be accretive to its Adjusted EBITDA and Adjusted EPS within the first year. The company noted that CLS's expected Adjusted EBITDA margins are in line with MDA's own 2026 full-year outlook of 18% to 20%. The transaction is expected to close by the end of 2026 or early 2027, subject to regulatory approvals.

Market Reaction

Investors reacted negatively to the dilutive financing, despite the strategic rationale for the acquisition. MDA's stock fell 6.8% to $36.06 in morning trading after the news of the upsized deal was released.

The decline began in Wednesday's after-hours session following the initial announcement and accelerated on Thursday. The selling pressure pushed the stock to a session low of $35.45, significantly below its 52-week high of $49.37. The move was specific to MDA, as the broader U.S. stock market, including the S&P 500 and Nasdaq, traded higher.
