LXP Industrial Trust Shares Soar on $5.2 Billion Take-Private Deal with Brookfield, CPPIB

Shares of LXP Industrial Trust surged nearly 4.0% in morning trading after Brookfield Asset Management and the Canada Pension Plan Investment Board announced a definitive agreement to acquire the company in an all-cash deal valued at approximately $5.2 billion, including net debt and preferred equity.
The Acquisition Agreement
Under the terms of the transaction, LXP shareholders are set to receive $61.20 per share in cash. According to the announcement, this price represents a 12.3% premium to the stock’s 30-day volume-weighted average price and a 19.8% premium over its 90-day average.
The deal, which has been unanimously approved by LXP’s Board of Trustees, is expected to close in the fourth quarter of 2026. The closing is subject to customary conditions, including approval from LXP shareholders.
Market Reaction and Outlook
LXP's stock price climbed to a new 52-week high of $61.18 following the news, trading just shy of the acquisition price. This indicates a high degree of market confidence that the transaction will be completed as announced.
AdThe agreement includes a 40-day "go-shop" period, which expires on August 28, 2026. This provision allows LXP to actively solicit and evaluate alternative acquisition proposals, leaving open the possibility of a competing, higher bid. Upon completion of the deal, LXP shares will be delisted from the New York Stock Exchange, and the company will suspend its common share dividend until the transaction closes or is terminated.
Strategic Context
The acquisition highlights growing institutional interest in high-quality industrial real estate. LXP owns a significant portfolio of modern warehouse and logistics facilities, comprising approximately 53 million square feet across 108 properties, primarily located in the U.S. Sunbelt and Midwest regions.
Prior to the announcement, analyst sentiment on LXP had been strengthening. BMO Capital Markets recently initiated coverage with an "Outperform" rating and a $65.00 price target, while Citizens JMP had raised its target to $58.00, signaling an underlying appreciation for the company's asset value.
