Offering Details
The units are scheduled to begin trading on the New York Stock Exchange (NYSE) on September 17, 2026, under the ticker symbol "HYACU". The offering is expected to officially close on September 18, 2026, subject to customary closing conditions. Upon closing, the proceeds will be deposited into a trust account.
Cantor Fitzgerald & Co. and William Blair are serving as the joint book-running managers for the IPO, with Roth Capital Partners acting as co-manager.
Unit and Warrant Structure
AdEach unit sold in the IPO consists of one Class A ordinary share and one-third of one redeemable warrant. Each whole warrant entitles the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share.
Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on the NYSE under the symbols "HYAC" and "HYACW," respectively. The company has also granted the underwriters a 45-day option to purchase up to an additional 3,750,000 units to cover over-allotments.
