Background

Crypto capital markets firm GSR announced it has registered two entities with the Cayman Islands Monetary Authority (CIMA), significantly expanding its regulated footprint as it positions for the convergence of traditional and onchain finance.

Strategic Regulatory Expansion

The new registrations under the Securities Investment Business Act (SIBA) cover two distinct operations, according to a company statement released Wednesday.

  • GSR Markets Cayman Limited is now registered to deal in and arrange deals in securities, enhancing the firm's ability to provide trading, liquidity, and execution services.
  • GSR Capital (Cayman) Limited is registered to conduct asset management business and will serve as an investment manager for GSR's Cayman-based funds.

This move in the Cayman Islands follows GSR's acquisition of an SEC-registered broker-dealer in the United States, now operating as GSR Securities, LLC. The firm noted that the U.S. and Cayman authorizations are separate and do not confer cross-jurisdictional permissions.

GSR's expansion is driven by the anticipated growth of tokenized securities, where traditional assets like stocks and bonds are issued and traded on blockchain infrastructure. The firm is building the regulatory and trading platforms to service this emerging market.

"Tokenized securities could become one of the largest trading opportunities our industry has seen," said Xin Song, CEO of GSR. The company's internal estimates project that total annualized volumes could reach between $20 trillion and $50 trillion within three years, according to Song.

Bridging Onchain and Traditional Finance

The registrations are part of a broader strategy to bridge the gap between legacy financial systems and crypto-native platforms. As asset tokenization grows, GSR aims to provide liquidity and market-making services across both ecosystems.

"We believe the distinction between traditional and digital capital markets will become less meaningful over time," said Joshua Riezman, Chief Legal and Strategy Officer at GSR. He added that the firm is building capabilities to help issuers access investors and liquidity across both traditional venues and onchain platforms.
