Gloo Holdings Stock Plummets 19% After Pricing Share Offering at $3.25

Gloo Holdings (NASDAQ:GLOO) shares plummeted nearly 20% in premarket trading Thursday after the company priced its public offering of 7 million Class A common shares at $3.25 per share. The offering price represents a significant discount to the stock's previous market value, triggering a sell-off.
Details of the Offering
The Boulder, Colorado-based technology firm expects to raise gross proceeds of approximately $22.75 million from the sale before deducting underwriting discounts and other expenses. According to the announcement, Gloo has also granted the underwriters a 30-day option to purchase up to an additional 1,050,000 shares at the same price, which could bring the total gross proceeds to $26.16 million if fully exercised.
A notable detail is the participation of company insiders. Certain board members, including Scott Beck and Pat Gelsinger, and their affiliated entities have committed to purchasing at least $6.0 million in shares as part of the offering. The deal is expected to close on or about July 10, 2026, subject to customary conditions.
AdMarket Reaction and Use of Proceeds
Investors reacted negatively to the pricing news, sending the stock down 19.6% in premarket hours. Public stock offerings can be dilutive to existing shareholders, as the issuance of new shares reduces the ownership percentage of each outstanding share, often putting downward pressure on the stock price.
Gloo plans to use the net proceeds from the capital raise for general corporate purposes. The company specified this could include funding for working capital, operating expenses, capital expenditures, and potential acquisitions or investments in complementary businesses, products, or services. Citizens Capital Markets is serving as the lead book-running manager for the offering.
