Uber to Acquire Delivery Hero in $14.8 Billion Deal to Expand Global Reach

Summary
Uber has agreed to buy German food-delivery company Delivery Hero for $14.8 billion in cash, a move to strengthen its international business and compete with rivals in a consolidating market.
Uber Technologies (NYSE:UBER) has agreed to acquire German food-delivery firm Delivery Hero (ETR:DHER) in a cash transaction valued at $14.8 billion, a strategic move aimed at bolstering its international delivery operations amid fierce global competition.
The Deal Details
Uber is offering Delivery Hero shareholders €41.50 in cash for each share, representing an 8.7% premium to the stock's previous closing price. According to a joint announcement on Thursday, the Berlin-based company's management and supervisory boards have unanimously welcomed the offer and intend to recommend it to shareholders.
While the total valuation is $14.8 billion, the net value of the transaction is $13.7 billion after accounting for Uber's significant existing holdings. Prior to the agreement, Uber already owned approximately 24.8% of Delivery Hero’s voting share capital and held a further 11.7% economic interest through equity derivatives.
Strategic Rationale
The acquisition marks a significant development in the ongoing consolidation of the global food delivery industry. The sector has faced slowing post-pandemic growth, rising operating costs, and intense competition, driving companies to seek greater scale. This deal follows other major industry mergers, including DoorDash's acquisition of Deliveroo and Prosus's purchase of Just Eat Takeaway.com.
AdFor Uber, the acquisition deepens its presence in key markets outside the United States, expanding its reach into more than 60 countries where Delivery Hero has established operations. The move is seen as a direct effort to strengthen its competitive standing against rivals like DoorDash. For Delivery Hero, the deal follows pressure from activist shareholders to unlock value through strategic options, including asset sales.
Outlook and Hurdles
The combination of two major players in the delivery space is expected to attract significant regulatory scrutiny. The companies' businesses have notable overlaps across parts of Europe and the Middle East, which will likely be a focus for antitrust authorities.
The transaction's next steps will involve the publication of a formal offer document, after which Delivery Hero shareholders can tender their shares. The successful completion of the deal will hinge on shareholder approval and clearing regulatory reviews in multiple jurisdictions.
