Background

Tamarack Valley Energy and Headwater Exploration have announced a definitive agreement to merge in an all-stock transaction valued at C$10 billion ($7.25 billion). The deal will create the largest publicly traded oil producer focused on Alberta’s prolific Clearwater Formation.

Transaction Details

Under the terms announced Tuesday, Headwater shareholders will receive one Tamarack share for each Headwater share held. This will result in Tamarack (TSX:TVE) issuing approximately 237.8 million new shares.

Upon completion, existing Tamarack shareholders will own approximately 66.5% of the combined company, while Headwater (TSX:HWX) shareholders will hold the remaining 33.5%. The transaction is expected to close in the fourth quarter of the year.

Strategic Rationale and Outlook

The merger consolidates key land positions across the Marten Hills, Nipisi, and Marten Hills West areas of the Clearwater play. In connection with the deal, Tamarack plans to boost shareholder returns, with President Steve Buytels announcing a planned 20% increase to the quarterly dividend, bringing it to C$0.06 per share.

The company also raised its five-year growth outlook for the Clearwater assets to 10%-12%, up from a previous target of 8%-10%. Tamarack stated it will manage the expected production growth through existing and planned pipelines to Edmonton, a move designed to mitigate local capacity constraints and improve access to diversified markets.

Leadership and Asset Spinoff

A new leadership structure will be implemented following the merger's completion. Tamarack President Steve Buytels is slated to become CEO and join the board on January 1, 2027, while founding CEO Brian Schmidt will transition to the role of executive chairman.

Additionally, the two companies plan to spin off certain non-core exploration assets into a new publicly listed company, to be named Tributary Exploration Inc. Headwater’s current management team, led by CEO Jason Jaskela, will run the new entity.
