SPACCircle Acquisition Prices $100 Million IPO on Nasdaq

SPACCircle Acquisition Corp., a special purpose acquisition company (SPAC), announced it has priced its initial public offering of 10,000,000 units at $10.00 per unit. The offering will raise gross proceeds of $100 million before underwriting discounts and commissions.
The units are now listed on the Nasdaq Global Market and trade under the ticker symbol "SCQCU." The offering is expected to close on October 28, 2026, subject to customary closing conditions.
Offering Structure
Each unit issued in the IPO consists of three components:
- One Class A ordinary share.
- One redeemable warrant to purchase one Class A ordinary share at an exercise price of $11.50 per share.
- One right to receive one-half of one Class A ordinary share upon the completion of an initial business combination.
AdOnce the securities begin separate trading, the Class A ordinary shares, warrants, and rights are expected to trade on Nasdaq under the symbols "SCQC," "SCQCW," and "SCQCR," respectively. D. Boral is acting as the sole book-running manager for the offering.
Company Strategy
SPACCircle Acquisition Corp. is a newly formed blank-check company. As is typical for a SPAC, the company was established to raise capital through an IPO for the sole purpose of acquiring or merging with an existing private company, thereby taking it public.
The company has stated it intends to pursue a merger, share exchange, or asset acquisition with one or more businesses. It has not specified a particular industry or geographic region for its search. The underwriters have been granted a 45-day option to purchase up to an additional 1,500,000 units to cover any over-allotments.
