Rackspace Stock Plummets After Slashing 2026 Outlook, Announcing Equity Offering

Background

Shares of Rackspace Technology (NASDAQ: RXT) plunged more than 23% in morning trading after the company significantly lowered its full-year financial outlook and announced plans for a new equity offering. The negative developments erased an early pre-market rally that had been driven by the announcement of a strategic partnership with Palantir.

Guidance Cut and Dilution Concerns

Rackspace management issued a sweeping downward revision to its fiscal 2026 financial guidance, citing supply constraints, geopolitical headwinds, and a strategic shift away from lower-margin business.

  • Full-Year Revenue: The forecast was cut to a range of $2.45 billion to $2.55 billion, a $150 million reduction from the prior outlook of $2.6 billion to $2.7 billion.
  • Full-Year Adjusted EBITDA: Expectations were lowered to $285 million to $295 million, down from the previous range of $305 million to $315 million.

Compounding the issue, the company's second-quarter revenue forecast of $641 million to $649 million fell short of the analyst consensus estimate of $657 million. Simultaneously, Rackspace announced a $250 million at-the-market equity offering and filed an automatic shelf registration, raising immediate concerns about share dilution among investors.

Palantir Partnership Overlooked

The financial revisions completely overshadowed what would otherwise have been a positive catalyst for the stock. Rackspace announced a definitive agreement with Palantir Technologies to deploy Palantir's Foundry and AIP platforms for mid-market and regulated clients.

Under the agreement, Rackspace was named a preferred partner for Palantir in the healthcare, financial services, and energy sectors. However, the market's focus remained squarely on the weakened financial outlook and potential for share dilution.

Market Reaction

The sell-off in Rackspace shares was company-specific and not reflective of a broader market downturn. Both the S&P 500 and Nasdaq Composite indices were trading modestly higher during the session, and other cloud infrastructure peers did not experience similar selling pressure.

The stock's intraday trading range, from a high of $6.42 to a low of $4.52, highlighted the sharp reversal in investor sentiment once the full scope of the financial update was digested. The combination of a significant guidance cut, a weak near-term forecast, and a dilutive capital raise proved too much for the stock to absorb.
