According to a Bloomberg report citing people familiar with the matter, Toho Holdings, a major Japanese pharmaceutical wholesaler, submitted an initial proposal to acquire PHC for more than ¥200 billion ($1.3 billion). The report noted that Toho is currently conducting due diligence and is the only prospective buyer in concrete discussions, though other domestic investment funds have shown interest.
The reported offer value represents a significant premium over PHC's market capitalization of approximately ¥182 billion prior to the announcement.
Shareholder and Market Context
AdPrivate equity firm KKR is PHC's largest shareholder, holding a stake of about 38%, according to Bloomberg data. KKR acquired an 80% stake in PHC's predecessor, Panasonic Healthcare, in 2014 and has been gradually reducing its holding as it seeks to exit the investment.
Both Toho and KKR have appointed financial advisers for the potential transaction, Bloomberg reported. The stock's sharp rise on Thursday contrasted with a mixed broader market, where the Nikkei 225 index gained around 1% while the broader Topix index was lower.

Toho's interest in PHC aligns with its stated medium-term strategy to expand into adjacent healthcare sectors, including medical devices, diagnostic reagents, and healthcare information technology. PHC operates across diabetes management, diagnostics, life sciences, and other healthcare solutions.
