According to the announcement, other marquee institutional investors participated, including Apollo (NYSE: APO), Citadel, Hudson Bay Capital, and the Abu Dhabi Investment Council.
The funds were raised via convertible loan notes, which will automatically convert into ordinary shares upon the completion of Nscale's initial public offering. Under the terms of the agreement, Nvidia will receive non-voting shares.
Strategic Rationale and Market Context
This financing underscores the sustained institutional appetite for specialized "neocloud" operators that provide the high-performance computing infrastructure necessary for resource-intensive AI workloads. Nscale, which was spun off from a cryptocurrency mining enterprise in early 2024, said it will deploy the proceeds to accelerate the global buildout of its vertically integrated platform.

Nscale plans to list its ordinary shares on the New York Stock Exchange under the ticker symbol NSCL. Goldman Sachs & Co. LLC, which acted as the placement agent for the financing, will also serve as a lead underwriter for the IPO alongside JPMorgan Chase & Co. and Morgan Stanley.
