Background

Marathon Digital Holdings (NASDAQ: MARA) stock surged more than 10% in morning trading after the company announced a definitive agreement to acquire a large-scale land site in Texas, a major step in its strategy to diversify into high-performance computing (HPC) and artificial intelligence.

The Acquisition

Marathon, through its subsidiary Volt Texas LLC, will acquire a more than 1,200-acre site in Matagorda County, Texas, from HIF USA LLC. The company plans to develop the site into a massive data center campus in partnership with Starwood Digital Ventures.

Key details of the planned development include:

  • Phased construction is set to begin in 2026, pending regulatory approvals.
  • The site is expected to deliver up to 1 gigawatt of grid capacity by October 2027.
  • Full capacity is planned to scale up to 2 gigawatts by April 2028.

The deal is structured with post-closing milestone payments that could reach $600 million if all development targets are met. HIF USA will retain a minority ownership stake upon the execution of a data center lease, according to the announcement.

Strategic Significance

This acquisition provides a significant, concrete milestone in Marathon's pivot from a pure-play Bitcoin miner to a diversified digital infrastructure operator. The new campus will target both Bitcoin mining and the rapidly growing market for HPC and AI workloads.

Upon full energization, the Texas project, combined with the company's pending acquisition of Long Ridge Energy & Power, is expected to nearly double Marathon's total potential power capacity to approximately 4.8 gigawatts. This expansion substantially increases the company's infrastructure footprint and revenue potential beyond cryptocurrency mining.

Market Reaction

The strong positive market reaction to the news overshadowed a recent bearish analyst rating. A day prior, Morgan Stanley had issued an Underweight rating on the stock with a $5.50 price target. However, today's announcement appears to have shifted investor focus to the company's long-term growth and diversification strategy, which aligns with a more bullish initiation from Citizens in late June that cited the AI and HPC pivot.
