Essential Properties Realty Trust Stock Slides on $450 Million Debt Offering Plan

Essential Properties Realty Trust (NYSE:EPRT) shares fell 4.7% in premarket trading Tuesday after the company announced its operating partnership plans to issue $450 million in exchangeable senior notes. The debt will be offered in a private placement to qualified institutional buyers.
Details of the Offering
The notes, which will be senior, unsecured obligations, are set to mature on January 15, 2032, with interest payments beginning on July 15, 2027. The debt will be fully and unconditionally guaranteed by Essential Properties Realty Trust, the parent REIT.
According to the announcement, the initial purchasers will have an option to buy up to an additional $67.5 million in aggregate principal amount of the notes. The company intends to use the net proceeds to reduce outstanding balances under its revolving credit facility and to fund capped call transactions.
Market Impact and Financial Implications
AdThe market's negative reaction reflects investor concerns about potential shareholder dilution. Exchangeable debt can be converted into the parent company's common stock, which can dilute the ownership stake of existing shareholders. The company's plan to enter into capped call transactions is a common financial strategy intended to reduce this potential dilution.
Noteholders will have the right to exchange their notes under certain circumstances. The company stated that exchanges would be settled by paying cash up to the principal amount, with any excess value paid or delivered in cash, shares of the company’s common stock, or a combination. The operating partnership also has an option to redeem the notes beginning January 21, 2030, provided the company's stock price has traded above 130% of the exchange price for a specified period.
Company Background
Essential Properties Realty Trust is an internally managed real estate investment trust that focuses on acquiring and managing single-tenant properties leased on a long-term, net-lease basis.
