Domo Shares Surge 21% on $400 Million Asset Sale to Progress Software

Shares of Domo (NASDAQ:DOMO) surged 21% on Thursday after the company announced a definitive agreement to sell substantially all of its assets to Progress Software Corporation (NASDAQ:PRGS) for $400 million in cash. Following the transaction, Domo will continue as a publicly traded company, restructured as a holding entity with a significant cash position and valuable tax assets.
Details of the Transaction
Under the terms of the deal, Progress Software will acquire Domo's core operating business, which includes its technology platform, customer contracts, intellectual property, employees, and foreign subsidiaries. The agreement was unanimously approved by Domo’s Board of Directors following a review of strategic alternatives.
The transaction is expected to close before the end of Progress Software’s fiscal year on November 30, 2026, pending regulatory approvals and other customary closing conditions. The deal is not subject to a financing condition. Progress stated it expects to continue serving Domo customers and supporting the Domo platform post-acquisition.
A New Structure for Domo
AdAfter the sale is complete, Domo will be transformed into a Delaware holding company with a new name and ticker symbol. The company will possess a debt-free balance sheet and net cash of approximately $246 million, which equates to $4.84 per share—an 81% premium to its 30-day volume-weighted average price.
Domo will also retain more than $900 million in net operating loss (NOL) carryforwards. To protect these tax assets, the company has adopted a tax benefits preservation plan aimed at preventing an ownership change under Section 382 of the Internal Revenue Code. The Board, which will continue to be led by Founder and CEO Josh James, intends to use the cash proceeds and NOLs to explore new business opportunities, potentially in AI and automation, or to return capital to shareholders.
Market Implications
The significant stock price increase reflects investor approval of the deal's structure, which unlocks immediate value while preserving a vehicle for future growth. By shedding its operating business and debt, the remaining Domo entity becomes a clean shell company with substantial cash and the potential to generate future value by monetizing its massive NOL carryforwards. For Progress, the acquisition adds an established business intelligence platform and customer base to its portfolio.
