Delek intends to use a portion of the proceeds to fund capped call transactions, which are designed to reduce potential share dilution upon conversion of the notes. The remaining funds will be allocated for general corporate purposes, including the partial repayment of its Term Loan Credit Facility.

The negative market reaction is typical for such an announcement. Convertible notes are a form of debt that can be converted into a predetermined number of the company's common shares. Terms of the Notes

Delek stated it will satisfy conversions by paying cash and, if applicable, delivering shares of its common stock. The company cannot redeem the notes before November 6, 2029, except under specific circumstances, after which they become redeemable at Delek's option.
