The combined business will operate under the Cohere name, establishing dual headquarters in Toronto and Berlin, according to a statement from the companies. Aleph Alpha’s co-chief, Ilhan Scheer, is set to become the chief operating officer of the merged organization, while its Heidelberg office will be repurposed as a research hub.

The strategic rationale for the merger is to meet rising demand for what is often termed "sovereign AI." Cohere CEO Aidan Gomez said the combination aims to deliver AI that is "powerful enough to compete, but secure and governable enough to trust," catering to governments and businesses with strict data governance requirements.

Financial Backing and Market Context

While the companies did not disclose the current financial terms, the potential combination was previously valued at around $20 billion when plans were first reported in April. The deal is supported by a new €500 million investment from Schwarz Group, the owner of the Lidl retail chain.

Beyond capital, Schwarz Group will provide substantial computing capacity through its cloud arm, StackIT. The retailer is investing heavily in a German data-center campus designed to house up to 100,000 AI chips. The transaction remains subject to regulatory approvals.

Contrasting Profiles and European AI Investment

The merger unites two companies with different recent trajectories. Cohere develops the Command family of open-source AI models and reported $240 million in annual recurring revenue this year. In contrast, Aleph Alpha, once seen as a German AI champion, has refocused from developing frontier models to providing AI integration software, reporting revenue of less than €1 million in 2023.

This deal comes amid a surge of investment in European AI companies. Last week, Paris-based Mistral AI, a leading European model maker, raised €3 billion at a valuation exceeding €21 billion, signaling strong investor appetite for alternatives to U.S.-based AI giants.
