Cantor Fitzgerald SPAC and Adam Back's BSTR Holdings Terminate Merger Agreement to Renegotiate Terms

A special purpose acquisition company backed by Cantor Fitzgerald and BSTR Holdings, a Bitcoin investment firm led by Adam Back, have mutually terminated their merger agreement, the companies announced Wednesday. The parties now intend to negotiate a revised deal with terms they say will be better suited to the current economic environment.
Original Deal Canceled
Cantor Equity Partners I Inc. and BSTR Holdings stated they will not proceed with the merger agreement originally signed last year. In a joint announcement, the firms said they will instead pursue amended terms but did not disclose potential financial details or a timeline for reaching a new agreement.
Any revised transaction, if reached, would be detailed in future regulatory filings, the companies said. As a result of the termination, several key components of the transaction have been unwound:
- The private financing tied to the original merger has been canceled.
- A shareholder meeting that had been scheduled for July 10 is now postponed indefinitely.
- Pending redemption requests from SPAC investors have been voided, and their shares have been returned.
AdContext and Reported Headwinds
The proposed merger was designed to take BSTR Holdings public, allowing the company to raise capital for its strategy of acquiring and holding Bitcoin. The firm is led by Adam Back, the chief executive of Blockstream and a prominent early developer in the Bitcoin ecosystem.
The decision to restructure the deal follows reports of financing difficulties. According to an earlier report from Bloomberg News, the transaction had struggled to secure sufficient funding, which led Cantor to permit some investors in the deal's private financing to reduce their commitments ahead of the planned shareholder vote.
